Subscription terms

Version 1 · 25 October 2026

These terms apply when a business or public institution (the customer) uses Rulicare. Rulicare is only sold to businesses, not to consumers. If something else has been agreed in a quote or order confirmation, that takes precedence over these terms.

1. The parties

Rulicare is provided by DsUniSoft v/ Daniel Lang Sørensen (we), a company registered in Denmark.

Company reg. no. (CVR): 44849739

Address: Dyssevej 53, 4683 Rønnede, Denmark

Email: daniel@rulicare.com

2. The service

Rulicare is a shift planning app that the customer accesses over the internet at app.rulicare.com. The service covers the features in the app at the time the customer uses it, plus hosting, backups, updates and support as described below. We develop the app continuously. We may change or remove features, but we will not remove a significant feature the customer uses without at least 3 months' notice.

Features that a quote describes as planned are not part of the service until they are available in the app.

3. The agreement and trial period

The agreement is made when the customer has accepted a quote or order confirmation from us. We create the customer's organisation and first manager.

We may agree on a free trial period. Its length is stated in the quote. During the trial the customer does not pay for the subscription. If the customer does not want to continue, the customer tells us before the trial ends, and the customer's data is then deleted under section 9. Otherwise the agreement continues as a paid subscription.

4. The customer's users and responsibilities

The customer creates its own users (managers and employees) and decides who has access. The customer makes sure that:

Rulicare shows and checks rules such as rest periods. The customer remains responsible for the rota complying with laws, collective agreements and contracts. The rota shows planned shifts and is not a record of actual working time.

5. Price

The price is per active user per month, with a monthly minimum amount. The agreed price and any discount are stated in the quote or order confirmation. Prices exclude VAT.

An active user is a user in the customer's organisation who has not been deactivated. Managers and employees both count. The number for a month is the highest number of active users during that month. The customer can deactivate users who no longer need the app (Staff → select the person → Deactivate).

We may change the price with at least 3 months' written notice. The customer may then terminate the agreement before the new price takes effect.

6. Invoicing and payment

We invoice monthly in arrears. The invoice for a month is created on the 1st of the following month and sent via our payment provider Stripe. If the customer has added a payment card, the amount is charged automatically. Otherwise the invoice is sent by email, payable within 14 days of the invoice date.

For late payment we may charge interest and fees as permitted by applicable law. If an invoice is still unpaid after a written reminder with at least 14 days to pay, we may limit or close access until it is paid. Data is not deleted because of non-payment until the agreement has ended.

7. Operations, backups and support

We aim for Rulicare to be available at all times, but we cannot guarantee uninterrupted service. Where possible, planned maintenance takes place outside busy hours.

Data is stored at Cloudflare in a database with EU jurisdiction. The database is backed up continuously and can be restored up to 30 days back. Passwords are only stored as a secure hash, and all connections are encrypted.

Support is given by email at daniel@rulicare.com on working days. We reply as soon as we can, normally by the next working day. If we need to look at the customer's data to help, we use a logged, time-limited support access that is visible in the customer's history.

8. Personal data

The customer is the controller for the data about its employees in the app. We are the processor and only process it on the customer's instructions. The parties sign a data processing agreement before starting. It covers security, sub-processors, retention periods and what happens when the agreement ends, among other things. In case of conflict on personal data, the data processing agreement takes precedence over these terms.

9. Termination

The customer may terminate the agreement in writing with 1 month's notice to the end of a month. We may terminate with 3 months' notice to the end of a month. Either party may terminate without notice if the other party materially breaches the agreement and has not remedied it within 30 days of written notice.

When the agreement ends, the customer's access is closed. Before the end, and up to 30 days after, the customer may ask in writing for an export of its data. We delete all of the customer's data no later than 90 days after the end of the agreement. The customer may ask in writing for earlier deletion. Deletion from backups happens as the backups expire, no later than 30 days after deletion.

Export and deletion at the end of the agreement are currently carried out by us on written request. A dedicated function for this will be implemented before the service goes live.

10. Rights

We own Rulicare, including the code and design. The customer receives a right to use it while the agreement runs. The customer owns its own data. We may use anonymous, aggregated figures about the use of the app (such as the number of shifts) to run and improve the service, but never data about individuals.

11. Liability

We are liable under general rules, with these limitations:

These limitations do not apply if we acted intentionally or with gross negligence.

12. Changes to the terms

We may change the terms with at least 1 month's notice by email. Significant changes to the customer's disadvantage are notified at least 3 months in advance, and the customer may terminate the agreement before the change takes effect.

13. Governing law and disputes

Unless otherwise agreed, the agreement is governed by Danish law. Disputes that cannot be settled by negotiation are decided by the Danish courts.

Court of first instance: Retten i Næstved.
